This Software System Service Level Agreement ("Agreement") defines the terms, performance standards, availability commitments, maintenance, and technical support services for the licensed software system ("System") provided by the Provider to the Client. This Agreement pertains exclusively to the software application and its hosted environment as detailed herein and does not cover general IT consulting, outsourced business process operations, or management of the Client's internal IT infrastructure.
The Provider shall deliver, host, and maintain the following integrated software modules as a unified System:
The Provider guarantees the System will have a Monthly Uptime Percentage of 99.5%, calculated at the end of each calendar month.
Note: Uptime calculation excludes Planned Maintenance windows and circumstances beyond Provider's reasonable control.
The Provider may schedule necessary Planned Downtime for Maintenance, subject to the following:
In the event of any unplanned System outage, the Provider will use commercially reasonable efforts to notify the Client's designated contact(s) within one (1) hour of confirming the outage, providing a preliminary description and ongoing updates until service is restored.
The Provider shall use reasonable efforts to meet the following targets based on the initial Severity classification:

Resolution Targets denote the goal for providing a workaround or permanent fix. Complex issues may require additional time for resolution.
The Provider will perform regular Maintenance to ensure System stability, security, and performance, including:
All updates will be scheduled to minimize disruption, typically during Planned Downtime windows.
The Provider's obligations under this SLA are explicitly limited to the System itself. The Provider is not responsible for:
The Client retains all right, title, and interest in and to all Client Data. The Provider claims no ownership of Client Data.
The Provider shall implement and maintain industry-standard administrative, physical, and technical safeguards to protect Client Data, including encryption of data in transit and at rest within the hosting environment.
The Provider shall perform regular backups of Client Data according to its standard policies. Backup frequency and retention periods are available upon request.
Upon termination of this Agreement for any reason, the Provider shall, at the Client's written request, return a complete copy of all Client Data in a standard, machine-readable format within ten (10) business days. The Provider shall securely purge all Client Data from its systems after a mutually agreed-upon period, typically thirty (30) days post-termination.

Custom development, professional services, advanced data migrations, and any work outside the scope of standard Support and Maintenance as defined herein will be quoted separately and are subject to a separate statement of work.
If the Monthly Uptime Percentage falls below the guaranteed 99.5%, the Client will be eligible for Service Credits as follows:

To receive a Service Credit, the Client must submit a written request to the Provider within thirty (30) days of the month's end. Service Credits are the Client's sole and exclusive financial remedy for any failure to meet the Uptime commitment. Credits are not refundable and can only be applied against future subscription fees.
Each party agrees to hold the other's Confidential Information in strict confidence, using at least the same degree of care as it uses for its own information of a similar nature, and to use such information solely for the purpose of performing under this Agreement. These obligations survive termination of the Agreement.
This Agreement commences on the Effective Date and continues for the Initial Term, thereafter automatically renewing for successive one-year periods unless either party provides written notice of non-renewal at least sixty (60) days prior to the end of the then-current term.
Either party may terminate this Agreement for convenience by providing the other party with sixty (60) days' prior written notice.
Either party may terminate this Agreement immediately upon written notice if the other party: (i) materially breaches this Agreement and fails to cure such breach within thirty (30) days of receiving written notice; or (ii) becomes insolvent or subject to bankruptcy or similar proceedings.
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction, e.g., the Republic of Fiji]. The parties agree to first attempt to resolve any dispute arising from this Agreement through good-faith negotiation between senior executives. If unresolved, the dispute may be submitted to the exclusive jurisdiction of the courts located in [Jurisdiction].
This document constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior discussions, proposals, and agreements. Modifications must be in writing and signed by authorized representatives of both parties.
